          FORM A CORPORATION ONLINE

You've got an idea for a business but want to protect your assets - your house and car - from any business liability.  Forming a new Corporation is one way to protect your personal assets.  A registered Corporation also lends credibility to your company and could make it easier to raise money when you need it.

When you form a new Corporation, however, there are certain administrative responsibilities that come along with that.  For example, most states require that you file periodic reports, usually yearly, to keep them updated with information on where the business is located and who is running the company.  You have to pay taxes on your company's income and some states also have a franchise tax which is imposed on a Corporation for the privelege of doing business in their state.

We've been helping people form new Corporations for over ten years.  We know what to do and how to do it as quickly and efficiently as possible.  Our A+ BBB rating speaks for itself.

          FORM A LLC ONLINE

A LLC is like a Corporation in that it protects the owners assets from claims against the company.  Most states have periodic filing requirements for LLCs like they do with Corporations.

When your form a LLC you have a few options on the way you want your company to be taxed.  An LLC is owned by Members who each share in the profits and losses of the business.
You can form a LLC with only one Member.  If you do this the IRS treats your company just like it would a sole proprietorship for tax purposes. LLCs with more than one Member are treated like a partnership for tax purposes.  You can also choose for your LLC to be taxed like a Corporation.

GOOD STANDING CERTIFICATE ONLINE (CERTIFICATE OF EXISTENCE ONLINE)

A good standing certificate is proof positive that your company exists.  Sometimes called a Certificate of Existence or Certificate of Status.  If your company is up to date with all its administrative responsibilities then the good standing certificate will include a statement from the Secretary of State to that effect.

We can get a good standing certificate in any state - within 2-3 hours in most states.

          CERTIFIED COPIES ONLINE

A Copy of a Business Document which is Certified by the Secretary of State is proof positive that the document is legal and authentic.  Some of the reasons why you might need a Certified Copy of your Business Documents include:
          • Bank loans
          • Tax filings
          • Foreign Business qualification
          • Replace original Business Documents
          • Provide legal proof of Business Registration
If you are responsible for the Business records of a Corporation or LLC it is important to retain on file Certified Copies of your Formation Documents - your Articles of Incorporation for Corporations or your Articles of Organization for LLCs; as well as all Amendments to your original Articles.

We can get a Certified Copy of any Business Document in any state - on the same day you place your order in some states.

          RESERVE A COMPANY NAME ONLINE

In almost all states you are not required to reserve a Company Name before you incorporate or form a new LLC.  However, it could make the approval process go quicker when you register your new business with the Secretary of State.  Reserving a Company Name gives you exclusive rights to that name.  No one else can use your Reserved Company Name which your name reservation is valid.

Prices and the valid time period of a Company Name Reservation vary from state to state.  For more information about getting a good standing certificate from any state just click on the state's name in the list below.

          CLOSE A BUSINESS ONLINE

If you have registered a business with the Secretary of State and want to legally shut the business down there are a few administrative tasks that you need to complete.  The process of legally closing a business is called Company Dissolution.  If you do not Dissolve your Corporation or LLC legally you leave youself open for legal problems and may put your personal assets at risk.

Over the years we've helped hundreds of businesses to legally close.

Requirements vary state to state.  For information on Company Dissolution in a specific state just click on the state's name in either the Corporation or LLC list below.
